Terms of Service

Last updated: October 17, 2026 · MorSal Technologies LLC

These Terms of Service (the “Terms”) are a binding agreement between you and MorSal Technologies LLC (“MorSal,” “we,” “us”). They apply to your use of morsal.co and to our SaaS, software, marketing, integration and AI services (together, the “Services”) unless you have signed a separate agreement with us, in which case that agreement controls where it conflicts with these Terms. By using the site or Services you agree to these Terms.

1. Eligibility and business use

You must be at least 18 and able to form a binding contract. Our Services are primarily intended for businesses. If you use them on behalf of a company, you confirm you have authority to bind it, and “you” includes that company.

2. Services and engagement documents

Proposals, order forms, statements of work (“SOWs”) and subscription plans describe the scope, deliverables, timelines and fees of each engagement. Their terms prevail over these Terms for that engagement. Estimates and timelines depend on timely access to information and decisions from you.

3. Website use and acceptable use

You agree not to:

  • use the site or Services unlawfully or to infringe others’ rights;
  • attempt to gain unauthorized access, probe, scan or disrupt our systems, or introduce malware;
  • scrape, reverse engineer or copy the site or our software except as law permits;
  • submit spam, false information or content you have no right to share;
  • use our Services or AI outputs to harass, defraud, discriminate unlawfully, or violate privacy, consumer-protection, export or sanctions laws.

4. Accounts and subscriptions

If a Service requires an account, you must provide accurate information, keep credentials confidential, and are responsible for activity under your account. Notify us promptly of unauthorized use. Subscription terms (plan, price, billing period, renewal and cancellation method) will be shown before you purchase. If a subscription renews automatically, we will disclose that clearly at purchase, and you may cancel before renewal using the method we provide.

5. Fees, payment and taxes

You will pay the fees stated in the applicable proposal, order form or plan, in U.S. dollars unless stated otherwise. Invoices are due within the period stated on the invoice (or 15 days if none is stated). Late amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Fees exclude taxes, which you are responsible for (other than taxes on our income). Fees are non-refundable except as stated in the applicable agreement or required by law. Please notify us in good faith of any invoice dispute within 15 days of receipt.

6. Ownership and licenses

Our property. We and our licensors own the site, software, tools, methodologies, templates, know-how and pre-existing materials, and all intellectual property rights in them. Unless an agreement states otherwise, we grant you a limited, non-exclusive, non-transferable right to use the Services and deliverables for your internal business purposes during the term and subject to payment.

Customer Data. You retain ownership of the data and content you provide (“Customer Data”). You grant us a limited license to host, process and use it solely to provide and support the Services and as required by law. You represent that you have the rights needed to provide it.

Custom work. Ownership of custom deliverables is as stated in the SOW; absent a statement, we own them and license them to you as above, excluding your Customer Data.

Feedback. You grant us a perpetual license to use suggestions you give us to improve our Services, without attribution or payment.

7. AI features and outputs

Our Services may use machine-learning and generative-AI technologies, including third-party models. AI outputs are generated probabilistically and may be inaccurate, incomplete or similar to outputs given to others. You are responsible for reviewing outputs and for how you use them, particularly for decisions affecting people’s rights, health, safety, employment, credit or legal status. Our Services are not professional legal, financial, medical or tax advice. See our Data Protection & Security Notice for how customer data is handled.

8. Third-party services

Some Services interoperate with third-party products (for example WhatsApp, payment processors, cloud and AI providers). Those products are governed by their own terms, and we are not responsible for them.

9. Confidentiality

Each party will protect the other’s non-public business, technical and financial information that is marked or reasonably understood as confidential, use it only for the engagement, and disclose it only to personnel and advisers who need to know and are bound by similar duties, or as required by law. These duties last for 3 years after the engagement ends (and for trade secrets, as long as they remain secret). They do not apply to information that is public, independently developed, or lawfully received from others.

10. Disclaimer of warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, MORSAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE. Some jurisdictions do not allow certain disclaimers, so some may not apply to you.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MORSAL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, EVEN IF ADVISED OF THEIR POSSIBILITY.

MORSAL’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO MORSAL FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT (OR US$100 IF YOU HAVE NOT PAID ANYTHING).

These limits do not apply to liability that cannot be limited by law, including for fraud, gross negligence or willful misconduct, or to your payment obligations.

12. Indemnification

You will defend and indemnify MorSal and its affiliates, officers, employees and contractors against third-party claims and resulting losses, liabilities and reasonable attorneys’ fees arising from (a) your Customer Data or content, (b) your breach of these Terms or law, or (c) your misuse of the Services. We will give you prompt notice, reasonable cooperation and control of the defense (without settling in a way that admits fault on our behalf without our consent).

13. Term and termination

These Terms apply while you use the site or Services. Either party may terminate a Service for material breach not cured within 30 days after written notice, and we may suspend access immediately to protect security or comply with law. You may stop using the site at any time. On termination, you must pay amounts due; sections that by their nature should survive (including ownership, confidentiality, disclaimers, liability limits, indemnification and governing law) will survive.

14. Governing law and disputes

These Terms and any dispute arising from them or the Services are governed by the laws of the State of Wyoming, USA, and applicable U.S. federal law, without regard to conflict-of-law rules. The parties will first try in good faith to resolve any dispute informally for at least 30 days after written notice. If unresolved, the state and federal courts located in Wyoming will have exclusive jurisdiction and venue, and each party consents to them.

If you are a consumer, nothing in these Terms limits mandatory consumer-protection rights under the law of your state of residence.

15. Electronic communications and messaging

You consent to receive notices and agreements electronically. We send marketing text messages or autodialed messages only with your prior express written consent, as required by the Telephone Consumer Protection Act and similar laws; replying to a message you started on WhatsApp is not marketing. Marketing emails comply with CAN-SPAM and include an unsubscribe option.

16. Export and sanctions

You may not use the Services in violation of U.S. export controls or economic sanctions, or in a jurisdiction or by a person subject to comprehensive U.S. sanctions.

17. Changes

We may update these Terms. The updated version will be posted here with a new date. For existing engagements, material changes take effect on renewal or with your continued use after notice, unless your agreement requires your signature.

18. General

These Terms, with any order form, SOW and the documents they reference, are the entire agreement on their subject. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Neither party is liable for delays caused by events beyond its reasonable control. Failure to enforce a right is not a waiver. Nothing creates a partnership, agency or employment relationship.
